Is your diagnosis ready to negotiate against?

Before you accept a single meeting, confirm each of these is true, and score yourself honestly — a weak diagnosis is worse than none, because it breeds false confidence. Every stated demand has at least one underlying interest written beneath it, each labeled evidenced or inferred, plus a real ratification chain.

A diagnosis is a falsifiable model, not a summary checklist

  • Interests on both sides. For each party, list the stated positions, then write the interest you believe sits beneath each one.
  • Constraints. Budget cycles, regulatory limits, prior commitments, internal policy floors. Constraints are interests the counterpart cannot move even if persuaded, so confusing the.
  • The ratification chain. Who must say yes, in what order, for this to become real? The person across the table is rarely the last signature.
  • Information status. For each unknown, decide whether it is missing (no one has it; it must be discovered at the table or through research) or scarce (it exists, the counterpart.

Case study: reading a renewal you think is routine

You're renewing a SaaS contract with a vendor. Their account manager opens by asking for a 12% uplift "in line with inflation" and a three-year commitment. The lazy diagnosis: they want more money and lock-in. Run the layers.
